Graduate Trainee: Legal Analyst & Company Secretary

Job Summary
The Graduate Trainee Legal Analyst & Company Secretary will assist in ensuring that the company complies with all statutory and regulatory requirements while providing legal and administrative support to the Legal and Corporate Governance teams. This role is ideal for a smart, highly motivated individual with a keen interest in investment banking, corporate law, and governance. The candidate will gain hands-on experience in legal analysis, company secretarial duties, and compliance within a dynamic and fast paced environment.


Key Responsibilities

  1. Legal Analysis & Documentation
  • Assist in drafting, reviewing, and negotiating legal documents, including contracts, NDAs, service agreements, and other corporate documents.
  • Conduct legal research on relevant laws, regulations, and case precedents affecting the organization.
  • Provide support in due diligence processes for transactions, mergers, acquisitions, and other corporate activities.
  1. Corporate Governance Support
  • Assist in preparing and maintaining accurate minutes of board and committee meetings.
  • Help organize board meetings, including preparing agendas, meeting packs, and postmeeting follow-ups.
  • Ensure proper filing of statutory documents with regulatory authorities (e.g. CAC, SEC, NSE).
  1. Compliance & Risk Management
  • Support compliance efforts to ensure adherence to laws and regulations governing the investment banking industry.
  • Monitor changes in legislation and regulations and advise on their potential impact on the organization.
  • Assist in developing and maintaining the organization’s compliance frameworks and policies.
  1. Administrative Support
  • Maintain organized legal and governance records, both physical and digital.
  • Support internal audits by providing required documentation and information.
  • Coordinate with external counsel, regulatory bodies, and other stakeholders as directed.
  1. Professional Development
  • Participate in structured training programs to enhance understanding of investment banking and corporate governance practices.
  • Stay updated on emerging trends in corporate law, finance, and governance to support innovative practices within the company.
    Job Specification
    Educational Qualifications
  • Bachelor’s degree in Law (LL.B) from a reputable university.
  • Call to the Nigerian Bar (BL) is mandatory.
  • Relevant certifications in corporate governance, compliance, or finance (e.g., ICSAN certification) are an added advantage.
    Experience
  • Fresh graduate or maximum of 2-year post-NYSC experience in a legal or corporate governance role.
